Terms and conditions for using Organizely

By accessing and using Organizely (“the Service”), you accept and agree to be bound by the terms and provision of this agreement. These Terms of Service (“Terms”) govern your use of the Organizely platform operated by Organizely, Inc. (“we,” “us,” or “our”).
Organizely is a cloud-based warehouse management system that provides inventory management, order tracking, forecasting, and integration capabilities for businesses. The Service includes:

You must be at least 18 years old and have the legal authority to enter into this agreement. You may not use the Service if you have been previously banned or if your account has been terminated.
Organizely offers various subscription plans with different features and usage limits. Current plans include Starter ($29/month), Pro ($59/month), and Scale ($99/month).
We offer a 14-day free trial for new users. After the trial ends, you must subscribe to continue using the Service.
You agree not to use the Service to:
You retain ownership of all data you input into the Service (“Customer Data”). We will not access, use, or disclose Customer Data except as necessary to provide the Service or as required by law.
We implement industry-standard security measures to protect your data. However, no system is completely secure, and you use the Service at your own risk.
While we maintain regular backups, you are responsible for maintaining your own backup copies of important data.
Organizely integrates with third-party services (such as Shopify, payment processors, etc.). These integrations are subject to the terms and policies of those third-party services. We are not responsible for the availability, functionality, or policies of integrated services.
The Service, including its software, design, and content, is protected by intellectual property laws. We retain all rights, title, and interest in the Service.
We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
While we strive for high availability, we do not guarantee that the Service will be available 100% of the time. We may perform maintenance, updates, or experience downtime. We will provide reasonable notice for planned maintenance when possible.
To the maximum extent permitted by law, Organizely shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.
You agree to indemnify and hold harmless Organizely from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights.
You may terminate your account at any time by contacting us or using the account settings. Termination will be effective at the end of your current billing period.
We may terminate or suspend your account immediately for violation of these Terms, non-payment, or other reasonable business reasons.
Upon termination, your access to the Service will be discontinued, and your data may be deleted after a reasonable period, except as required by law.
We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
Any disputes arising from these Terms or your use of the Service will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in New Jersey, United States.
These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
